Terms of Service

Welcome to GPM Digital Marketing LLC ("Company," "we," "us," or "our"). By engaging our services, accessing our website, or entering into a Statement of Work or service agreement with us, you ("Client") agree to be bound by the following Terms of Service. Please read them carefully.

1. Services

GPM Digital Marketing LLC provides digital marketing services, including but not limited to paid advertising management on Meta platforms (Facebook, Instagram), TikTok, Google Ads, and other digital channels; ad account audits; creative strategy consulting; and analytics and tracking implementation. The specific scope of services for each client is defined in a mutually executed Statement of Work ("SOW") or service agreement.

2. Client Obligations

Client agrees to: (a) provide timely access to ad accounts, analytics platforms, and any assets required to perform services; (b) designate a primary point of contact who is authorized to make decisions; (c) provide written approval for campaigns and creative prior to launch; and (d) pay all invoices in accordance with the agreed payment schedule.

3. Fees and Payment

Service fees are established in the applicable SOW or service agreement. Invoices are issued monthly in advance for retainer engagements. Payment is due within 15 days of invoice date. Late payments are subject to a monthly finance charge of 1.5% (18% per annum). GPM Digital Marketing LLC reserves the right to pause or suspend services on accounts with overdue balances exceeding 15 days past due.

4. Ad Spend

Client is solely responsible for all advertising spend billed directly by Meta, TikTok, Google, or other advertising platforms. GPM Digital Marketing LLC management fees are separate from and in addition to ad platform spend. GPM Digital Marketing LLC does not handle client ad spend directly unless explicitly agreed in writing.

5. Intellectual Property

Upon receipt of full payment, all work product, creative assets, reports, and documentation produced for Client under an SOW become property of Client. Strategic frameworks, proprietary methodologies, internal processes, and software used by GPM Digital Marketing LLC remain the exclusive intellectual property of GPM Digital Marketing LLC at all times.

6. Confidentiality

Both parties agree to maintain the confidentiality of the other party's non-public business information. GPM Digital Marketing LLC will not disclose client performance data, business financials, or proprietary information to third parties without written consent, except as required by law. This obligation survives termination of the engagement.

7. Performance Disclaimer

GPM Digital Marketing LLC makes no guarantee of specific advertising results, revenue outcomes, or return on ad spend. Performance in digital advertising is influenced by numerous external factors including market conditions, platform algorithm changes, product-market fit, and creative quality, which are beyond our control. We commit to applying professional expertise and industry best practices on behalf of every client.

8. Limitation of Liability

In no event shall GPM Digital Marketing LLC's total liability to Client exceed the total fees paid by Client to GPM Digital Marketing LLC in the three (3) months preceding the claim. GPM Digital Marketing LLC shall not be liable for any indirect, incidental, consequential, or punitive damages, including loss of profits or business interruption, regardless of cause.

9. Indemnification

Client agrees to indemnify, defend, and hold harmless GPM Digital Marketing LLC and its members, officers, and agents from any claims, liabilities, damages, and expenses (including reasonable attorney fees) arising from: (a) Client's use of our services; (b) Client's breach of these Terms; (c) any content or materials provided by Client; or (d) Client's advertising practices.

10. Governing Law

These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict of law provisions. Any disputes shall be resolved exclusively in the state or federal courts located in Sheridan County, Wyoming.

11. Modifications

GPM Digital Marketing LLC reserves the right to update these Terms at any time. Material changes will be communicated to active clients via email. Continued use of our services after such notice constitutes acceptance of the updated Terms.

Privacy Policy

This Privacy Policy describes how GPM Digital Marketing LLC ("we," "us," or "our") collects, uses, and protects information obtained through our website and service engagements.

1. Information We Collect

From website visitors: We may collect standard web analytics data including IP addresses, browser type, referring URLs, pages visited, and time on site. This is collected via analytics tools such as Google Analytics 4.

From contact form submissions: Name, company name, email address, phone number, website URL, and any information you voluntarily provide in inquiry messages.

From service clients: Business information, ad account access credentials (via platform permissions only — not stored passwords), financial performance data, and contact information.

2. How We Use Information

We use collected information to: respond to inquiries and schedule calls; provide and improve our services; generate performance reports for clients; comply with legal obligations; and communicate service updates or business notices. We do not sell, rent, or share personal information with third parties for their own marketing purposes.

3. Third-Party Tools

We use industry-standard tools in our operations, which may process data on our behalf, including Google Analytics (web analytics), Google Workspace (email and documents), and advertising platforms (Meta, TikTok, Google) for client work. These providers have their own privacy policies and data processing terms.

4. Data Security

We implement appropriate technical and organizational safeguards to protect information against unauthorized access, loss, or disclosure. Client ad account access is managed through official platform permission systems (e.g., Meta Business Manager, TikTok Ads Manager, Google Ads) and is never stored insecurely.

5. Data Retention

We retain client business data and communications for up to 36 months following the conclusion of an engagement, or as required by applicable law. You may request deletion of your personal information by contacting us at info@gpmdigitalmarketing.com.

6. Cookies

Our website may use cookies for analytics and user experience purposes. These cookies do not identify you personally. You may disable cookies through your browser settings; however, this may affect certain website functionality.

Cancellation Policy

Effective: June 19, 2024  ·  Last Updated: April 1, 2025

1. Monthly Retainer Cancellation

Either party may terminate a monthly retainer engagement with 30 days' written notice delivered via email to the primary contact on file. The 30-day notice period begins on the date the written notice is received. Services continue through the end of the notice period. No refunds are issued for the notice period.

2. One-Time Project Cancellation

For one-time project engagements (e.g., ad account audits, strategy projects): If cancelled before work has commenced, the Client is entitled to a full refund of any deposit paid. If cancelled after work has commenced, GPM Digital Marketing LLC will invoice for the portion of work completed at the agreed hourly or prorated project rate, and any remaining balance of the deposit will be refunded.

3. Non-Refundable Services

Strategy consulting sessions, completed audits and reports, and any deliverables already provided to Client are non-refundable.

4. Advertising Spend

GPM Digital Marketing LLC has no control over and accepts no responsibility for ad spend already committed to or billed by Meta, TikTok, Google, or other advertising platforms. Advertising spend is governed solely by the terms of the respective advertising platforms and is non-refundable by GPM Digital Marketing LLC.

5. Termination for Cause

GPM Digital Marketing LLC reserves the right to terminate any client engagement immediately for cause, including but not limited to non-payment, violation of these Terms, or requests to engage in practices that violate advertising platform policies or applicable law. In such cases, no refund of fees already paid will be issued.

6. Process for Cancellation

To initiate cancellation, send written notice to info@gpmdigitalmarketing.com with your company name and a clear statement of intent to cancel. We will acknowledge receipt within two business days and confirm the effective cancellation date.
